These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you ("User", "you", "your") and Gulab AI ("Company", "we", "us", "our"), governing your access to and use of the Gulab platform, including the website at gulab.ai, all associated applications, APIs, and services (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease all use of the Service.
"Content" means any text, images, video, audio, or other media generated through, uploaded to, or created using the Service.
"Generated Content" means any output produced by artificial intelligence models through the Service, including but not limited to images, video clips, audio files, and text.
"Credits" means the unit of account within the Service representing prepaid value denominated in United States Dollars, used to pay for AI generation services.
"Root User" means a member of the initial cohort of ten (10) founding users enrolled through the Root User Program at gulab.ai/bloom. "Stem User" means a member of the subsequent cohort of twenty-five (25) users enrolled through the Stem User Program at gulab.ai/bloom.
"AI Models" means the third-party and proprietary machine learning models accessible through the Service for content generation purposes.
2.1. You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is greater, to use the Service.
2.2. By creating an account, you represent and warrant that: (a) all information you provide is truthful, accurate, and complete; (b) you will maintain the accuracy of such information; (c) your use of the Service does not violate any applicable law or regulation; and (d) you have the legal capacity to enter into this Agreement.
2.3. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
2.4. We reserve the right to suspend or terminate any account at our sole discretion, with or without notice, for any reason, including but not limited to violation of these Terms.
3.1. The Service operates on a credit-based system. Credits are purchased through subscription plans or one-time top-ups and are deducted upon each AI generation based on the model and output parameters used.
3.2. Credit pricing is determined at our sole discretion and may be adjusted at any time. We will provide reasonable notice of material pricing changes to active subscribers.
3.3. Subscription Plans. Monthly subscription plans provide a recurring allocation of credits. Unused credits from subscription plans shall roll over for a period not exceeding sixty (60) days from the date of allocation, after which they shall expire without further notice or obligation.
3.4. Root User Credits. Credits allocated to Root Users as part of the Root User Program shall not expire and are exempt from the rollover limitations set forth in Section 3.3.
3.5. Non-Refundable. All credit purchases and subscription payments are final and non-refundable, except as required by applicable law or as expressly set forth in our refund policy. Credits have no cash value, are non-transferable, and may not be exchanged, sold, or redeemed for cash.
3.6. Referral Credits. Credits awarded through the referral program are subject to the same terms as purchased credits. We reserve the right to revoke referral credits in cases of fraud, abuse, or self-referral.
3.7. Billing. Subscription fees are billed in advance on a monthly recurring basis. By subscribing, you authorize us to charge your designated payment method at the then-current rate. Failure of payment may result in suspension of access to the Service.
4.1. User-Generated Content. You retain all rights to the prompts, images, and other materials you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, transform, and store such content solely for the purpose of providing the Service to you.
4.2. AI-Generated Content. Subject to the terms of the underlying AI model providers and applicable law, you are granted a non-exclusive, worldwide license to use, reproduce, modify, distribute, and publicly display Generated Content created through your use of the Service for any lawful purpose, including commercial use.
4.3. No Exclusivity. Due to the nature of AI generation, Generated Content is not exclusive. Other users may generate substantially similar or identical outputs using the same or similar prompts. We make no representations or warranties regarding the uniqueness of any Generated Content.
4.4. Platform IP. All rights, title, and interest in and to the Service, including its underlying technology, algorithms, user interface, design elements, trademarks, and documentation, remain the exclusive property of the Company. Nothing in these Terms grants you any right to use our trademarks, service marks, trade names, or logos.
4.5. Feedback. Any suggestions, ideas, or feedback you provide regarding the Service may be used by us without restriction, attribution, or compensation to you.

6.1. The Service integrates with third-party AI model providers (including but not limited to fal.ai, OpenAI, and others) to deliver content generation capabilities. Your use of Generated Content may be subject to the terms and conditions of these third-party providers.
6.2. We are not responsible for the availability, accuracy, or output quality of any third-party AI model. Model availability, capabilities, and pricing may change without notice.
6.3. We reserve the right to add, remove, or modify available AI models at any time without prior notice.
7.1. We respect the intellectual property rights of others. If you believe that any content available through the Service infringes your copyright, you may submit a DMCA takedown notice to our designated agent at: gulab@upsurge.io.
7.2. Your notice must include: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material; (c) your contact information; (d) a statement of good faith belief; (e) a statement of accuracy under penalty of perjury; and (f) your physical or electronic signature.
7.3. We will respond to valid DMCA notices in accordance with applicable law and may remove or disable access to the allegedly infringing content.
8.1. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8.2. WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR FIT FOR ANY PARTICULAR PURPOSE; (C) ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR (D) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8.3. AI-GENERATED CONTENT MAY CONTAIN INACCURACIES, BIASES, OR ARTIFACTS. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL GENERATED CONTENT BEFORE ANY USE.
9.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
9.2. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNTS ACTUALLY PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (US$100.00).
9.3. THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless the Company and its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) any User Content or Generated Content you create, distribute, or use; (c) your violation of these Terms; (d) your violation of any rights of a third party; or (e) any claim that your use of Generated Content caused damage to a third party.
11.1. You may terminate your account at any time by contacting us at gulab@upsurge.io. Upon termination, your right to use the Service will cease immediately, and any remaining credits will be forfeited.
11.2. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, or non-payment.
11.3. Sections 4, 5, 8, 9, 10, 12, and 13 shall survive termination of this Agreement.
12.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.
12.2. Any dispute arising out of or relating to this Agreement shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
12.3. The arbitration shall take place in Wilmington, Delaware, and shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
12.4. YOU AND THE COMPANY EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.
13.1. Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company concerning the Service and supersede all prior agreements, understandings, and communications.
13.2. Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.3. Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
13.4. Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
13.5. Modification. We reserve the right to modify these Terms at any time. Material changes will be notified through the Service or via email. Continued use of the Service after such notification constitutes acceptance of the modified Terms.
13.6. Force Majeure. We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, natural disasters, government actions, or failures of third-party services.

The Gulab connector at mcp.gulab.ai lets an AI assistant you use act on your Gulab account. These Terms of Service apply to your use of the connector as part of the Service.
Account linking. You connect the connector to your Gulab account through OAuth sign-in on gulab.ai. The connector can only perform the actions your linked account and the permissions you grant allow. You can disconnect it at any time from the assistant you connected it to.
Credits. Generations requested through the connector are charged to your Gulab account and use your Gulab Credits, under Section 3 of these Terms.
